Terms of Service.

Welcome to Dalexor MI ("the System," "the Service"). By initializing our Sentinel Daemon, installing or using our MCP integrations, or accessing the Sovereign Dashboard, you enter into a binding agreement with:
1. DEFINITIONS
"Sovereignty" refers to the user's absolute ownership of their generated code intelligence data. "Entropy Signals" are the metric measurements collected by the local daemon. "Decision Atoms" are the vector embeddings generated from your architectural choices. "The Provider" refers to Dalexor.
2. LICENSE AND ACCESS
2.1 License Grant
Subject to these Terms and payment of applicable fees, Dalexor grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your internal business logic analysis.
2.2 API Terms
Use of the Dalexor API is subject to rate limits based on your subscription tier. While we do not enforce a hard cap of 100 requests per second for premium tiers, we reserve the right to throttle or revoke access if usage patterns negatively impact the stability of the Global Brain.
3. ACCEPTABLE USE POLICY (AUP)
You agree NOT to:
- Reverse engineer, decompile, or disassemble the Sentinel Daemon source code beyond the bounds of applicable open-source licenses.
- Use the Service to monitor code bases for which you do not have explicit intellectual property rights or authorization.
- Inject malicious entropy signals, SQL injection vectors, or malformed JSON payloads intended to corrupt the global index.
- Conduct vulnerability scanning or penetration testing without prior written consent (support@dalexor.com)
- Use the platform for crypto-mining, botnet command & control, or illegal content distribution.
4. INTELLECTUAL PROPERTY & DATA SOVEREIGNTY
4.1 Your Data (The Prime Directive)
Dalexor acknowledges that your Codebase, Diffs, and Generated Insights (Decision Atoms) remain your sole property. You own the specific architectural summaries we generate for you. We claim no ownership over your intellectual property.
4.2 Data Portability
You may export your architecture graph and all associated project data at any time via the "Export All Data" feature in your Settings dashboard. We commit to providing your data in a structured, machine-readable format.
5. WARRANTIES & DISCLAIMERS
EXCEPT AS EXPRESSLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." DALEXOR MAKES NO WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, AND SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE ERROR-FREE OR UNINTERRUPTED.
6. PAYMENT, REFUNDS & TERMINATION
6.1 Billing & Refunds
Services are billed in advance. Refunds are generally not provided for partial months due to the irreversible costs of Neural Vectorization, except where required by Romanian law.
6.2 Termination by User
You may terminate your account at any time via the Dashboard. For self-service tiers, access ceases at the end of the current billing cycle.
Managed Accounts (Manual/Invoice): Accounts managed via legacy contracts or manual invoices must initiate a "Sovereign Transition" request via the Dashboard. This creates a secure termination handshake that will be finalized by a Dalexor agent within 24 hours.
6.3 Termination by Provider
We may suspend your access immediately for AUP violations. For non-urgent terminations (e.g., discontinuation of service), we will provide 30 days' notice via email.
7. LIMITATION OF LIABILITY
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Dalexor SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.
8. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Dalexor and its affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (i) your use of and access to the Service; (ii) your violation of any term of these Terms; or (iii) your violation of any third-party right, including without limitation any copyright, property, or privacy right.
9. GENERAL PROVISIONS
9.1 Force Majeure
Neither party shall be liable for failure to perform obligations due to events beyond reasonable control (e.g., natural disasters, war, internet backbone failure, government action).
9.2 Service Modifications
We reserve the right to modify the Service. For material changes that impact core functionality, we will notify you via email at least 30 days in advance.
9.3 Export Compliance
You represent that you are not located in a territory subject to strict EU/US trade embargoes and will not use the software to develop nuclear, chemical, or biological victims.
9.4 Dispute Resolution
These Terms shall be governed by the laws of Romania. Any dispute arising out of this Agreement shall be subject to the exclusive jurisdiction of the courts located in Bihor County, Romania.
For international customers outside the EU, we may mutually agree to resolve disputes via binding arbitration under the Rules of Arbitration of the International Chamber of Commerce (ICC), with the seat in Bucharest.
